These Terms of Service ("Terms") govern your access to and use of the U.S. website operated by Sofneu LLC ("Sofneu", "we", "us" or "our"), and your purchase of products from us. By accessing our website, creating an account, placing an order or otherwise using our services, you agree to these Terms. Please read them carefully.

1. Acceptance of These Terms

By accessing or using our website, placing an order, creating an account, or otherwise interacting with Sofneu, you confirm that you have read, understood and agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy. If you do not agree to these terms, please do not use our website.

2. About Sofneu

The Sofneu U.S. online store is operated by Sofneu LLC.For questions or support, you can reach us at service@sofneu.com.References in these Terms to "Sofneu", "we", "us" or "our" refer to Sofneu LLC.

3. Eligibility

You must have the legal capacity to enter into a binding agreement to place an order through our website. You must be at least 18 years old to make a purchase. If you are under 18, you may only use our website or make a purchase with the involvement and consent of a parent or legal guardian, who will be responsible for your use of the website.

4. Products and Product Information

We take reasonable care to ensure that product descriptions, images, specifications, colors, sizing information and other information displayed on our website are accurate. However, the appearance of products may vary slightly from the images displayed on your device due to screen settings, lighting, photography and reasonable variations in materials or production.
Sizing and fit information is provided as a guide only. Individual fit may vary depending on body shape, personal preference and the characteristics of the product. The inclusion of any product on our website at a particular time does not imply or warrant that such product will continue to be available. We reserve the right to discontinue any product at any time.

5. Pricing and Taxes

Unless otherwise stated, all prices displayed on our website are in U.S. dollars (USD). Prices are subject to change from time to time; A price change will not affect an order that we have already accepted.
Applicable U.S. state and local sales tax will be calculated and displayed at checkout based on the delivery address and applicable law. Shipping charges, where applicable, are displayed during checkout before a purchase is completed.
Despite our reasonable efforts, a small number of products may be priced incorrectly. If we discover an error in the price of an ordered product, we will contact you to inform you of the correct price and give you the option to proceed with the order at the correct price or cancel it. We are not obligated to sell a product at an incorrectly displayed (and materially lower) price.

6. Promotions and Discount Codes

From time to time, we may offer promotions, discount codes, rewards or other special offers. Unless otherwise stated:
  • Promotional offers are available for a limited time only.
  • Discount codes cannot be exchanged for cash.
  • Only one discount code may be used per order unless expressly permitted.
  • Discounts may apply only to selected products, customers or order values, and minimum purchase requirements may apply.
  • Promotions may not be combined with other offers unless expressly stated.
  • Promotions are subject to any additional terms communicated with the relevant offer.
We may withdraw or modify a promotion before an order is placed where permitted by law. Any specific promotional terms presented with an offer form part of these Terms.

7. Placing an Order

When an order is placed through our website, it constitutes an offer to purchase the products in that order. An order acknowledgement or confirmation email confirms receipt of the order and does not, by itself, constitute acceptance of the offer. An order is subject to product availability, successful payment authorization, verification of relevant order information, and our acceptance of the order.
We reserve the right to refuse, limit or cancel an order where we reasonably believe that:
  • A product is unavailable or out of stock;
  • There has been an obvious pricing, description or technical error;
  • Payment has not been authorized;
  • An order appears fraudulent, unauthorized or in breach of these Terms;
  • An order appears to be placed for unauthorized resale, bulk purchasing or other improper purposes; or
  • Accepting the order would breach applicable law.
Where an order is cancelled after payment has been received, a full refund will be issued for the cancelled products using the original method of payment.

8. Payment

We accept the payment methods displayed at checkout. Payments may be processed by third-party payment service providers. By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the relevant payment provider to process the transaction. You are responsible for any additional fees independently charged by your bank, card issuer or payment provider.

9. Order Changes and Cancellations

Orders typically begin processing immediately after being placed, so we may not always be able to make changes. If you need to cancel or modify an order, please contact us as soon as possible at service@sofneu.com and we will do our best to assist. Once an order has entered fulfilment or has been dispatched, we may be unable to modify or cancel it. If an order has already been dispatched, any return will be handled in accordance with our Returns & Exchanges Policy.

10. Shipping and Delivery

Orders are delivered in accordance with the shipping options and information displayed on our website and in our Shipping Policy. Estimated delivery times are estimates only and may be affected by circumstances outside our reasonable control, including carrier delays, severe weather, peak periods or other disruptions. You are responsible for providing complete and accurate delivery information. We cannot guarantee that an address can be changed after an order has entered fulfilment.

11. Returns, Exchanges and Refunds

Returns, exchanges and refunds are handled in accordance with our Returns & Exchanges Policy. Some products may be subject to return restrictions for hygiene or other reasons, and such restrictions are explained in our Returns & Exchanges Policy. Original shipping fees for returns not related to product quality are non-refundable.

12. Final Sale and Promotional Products

Where permitted by law, different conditions may apply to returns for sale, clearance or promotional products. Any applicable restrictions will be disclosed in our Returns & Exchanges Policy or the terms of the relevant promotion.

13. Rewards and Loyalty Programs

If you participate in a Sofneu rewards, loyalty or membership program, additional program terms may apply. Points, rewards, benefits, membership levels and promotional credits have no cash value unless expressly stated; may be subject to eligibility, expiry and redemption conditions; and may be adjusted where an underlying transaction is cancelled, refunded or reversed. Where separate Rewards Program Terms are provided, those terms form part of your agreement with us in relation to the program.

14. Your Account

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current and complete account information and to keep it up to date. Please notify us immediately of any unauthorized use of your account or any other security concern. We are not liable for any loss arising from your failure to safeguard your account credentials.

15. Acceptable Use

You must not use our website:
  • For unlawful, fraudulent or deceptive purposes;
  • To interfere with the security, integrity or normal operation of the website;
  • To introduce malicious software or harmful code;
  • To attempt to gain unauthorized access to our systems, accounts or data;

Unless otherwise stated, all content available through our website, including our brand names, trademarks, logos, product names, product photography, graphics, text, designs, videos and other materials, is owned by or licensed to Sofneu and is protected by applicable intellectual property laws. You may access and use our website for your personal, non-commercial use. You must not reproduce, distribute, modify, publish, commercially exploit or otherwise use our content without our prior written permission, except where permitted by law.

17. Reviews and User-Submitted Content

If you submit a review, photograph, comment or other content, you remain responsible for the content you submit. You must not submit content that is unlawful, defamatory, misleading or fraudulent; infringes another person's intellectual property or privacy rights; contains malicious software; or is otherwise inappropriate for publication.
Where you submit content for publication, you grant Sofneu a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display and publish that content in connection with operating and promoting Sofneu, subject to applicable law and our Privacy Policy. We may moderate or remove content where reasonably necessary, including where it breaches these Terms or applicable law.

18. Third-Party Services and Links

Our website may contain links to, or integrate, services provided by third parties (such as payment providers and analytics services). Third-party websites and services are governed by their own terms and privacy policies. Sofneu is not responsible for the content, availability or practices of third-party websites or services that we do not control.

19. Website Availability

We aim to keep our website available and functioning properly, but we do not guarantee uninterrupted or error-free access. We may temporarily suspend, modify or discontinue parts of the website for maintenance, security, technical or operational reasons without liability.

20. Disclaimer of Warranties

To the fullest extent permitted by applicable law, our website and all products and services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the website will be uninterrupted, secure or error-free, or that any defects will be corrected. Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded under applicable law.

21. Limitation of Liability

To the fullest extent permitted by applicable law, Sofneu and its officers, members, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, loss of data or loss of goodwill, arising out of or relating to these Terms, the website or the products, whether based on contract, tort or any other legal theory.
To the extent any liability is not excluded, our total aggregate liability arising out of or relating to these Terms or a purchase will not exceed the amount you paid for the specific order giving rise to the claim. Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

22. Indemnification

You agree to indemnify and hold harmless Sofneu and its officers, members, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of your use of the website, your breach of these Terms, your violation of any law, or your infringement of any third-party rights.

23. Privacy

Our collection, use, disclosure and handling of personal information is described in our Privacy Policy, and our use of cookies and similar technologies is described in our Cookie Policy. By using our website, you acknowledge the practices described in those policies.

24. Governing Law and Dispute Resolution

Governing Law

These Terms and any dispute arising out of or relating to them, the website or your purchase are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. However, nothing in these Terms limits any rights or remedies you may have under applicable federal or state consumer protection laws that cannot be waived or limited by contract.

Informal Resolution

Before either party initiates arbitration or a court proceeding, both parties agree to first attempt to resolve the dispute informally. If you have a dispute, please contact us at service@sofneu.com with a description of the issue and your contact information. We will review your concern and attempt to resolve it within 30 days of receiving your notice. If the dispute is not resolved within 30 days, either party may proceed with arbitration or another permitted proceeding as described below.

Binding Arbitration

Except for disputes that may be brought in small claims court as described below, you and Sofneu agree that any dispute, claim or controversy arising out of or relating to these Terms, the website, or the products (collectively, "Disputes") will be resolved exclusively through final and binding individual arbitration, rather than in court.
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org or by calling the AAA at 1-800-778-7879. The arbitration will be conducted by a single neutral arbitrator.
You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location. If we cannot agree on a location, AAA will determine the location. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act.

Arbitration Fees and Costs

Under the AAA Consumer Arbitration Rules, Sofneu will pay all AAA filing, administrative, and arbitrator fees for any Dispute that totals less than $75,000. For Disputes of $75,000 or more, the allocation of fees will be governed by the AAA Consumer Arbitration Rules. In no event will you be required to pay more than $200 in filing fees, and if the arbitrator finds that you cannot afford to pay your share, Sofneu will pay it for you. Each party will bear its own attorneys' fees and costs unless the arbitrator determines that an award of fees is appropriate under applicable law.

Small Claims Court

Notwithstanding the arbitration agreement above, either you or Sofneu may bring an individual action in small claims court located in the county where you reside, so long as the Dispute qualifies for small claims court and is brought only in your individual capacity. If a Dispute is transferred or removed from small claims court, it will then be subject to the arbitration agreement above.

Class Action Waiver

To the fullest extent permitted by law, you and Sofneu agree that any Dispute will be resolved only in each party's individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a class or representative proceeding.
If a court or arbitrator determines that the class action waiver is unenforceable as to a particular Dispute, that Dispute will be severed from the arbitration and brought in court, while all other Disputes will remain subject to arbitration.

Arbitration Remedies

The arbitrator may award any remedy that would be available in court, including but not limited to monetary damages, declaratory relief, injunctive relief, and attorneys' fees, subject to any limitations in these Terms or applicable law. The arbitrator may award punitive or statutory damages where permitted by applicable law. Nothing in this section limits any remedies that cannot be waived or limited under applicable law.

Exclusions

This arbitration agreement does not apply to:
  • Any claim brought by a government agency or public prosecutor, including any enforcement action by a state attorney general or federal regulator;
  • Any Dispute related to the infringement, misappropriation, or violation of intellectual property rights, which may be brought in court;
  • Your right to file a complaint with a government agency, including the Consumer Financial Protection Bureau, the Federal Trade Commission, or a state attorney general.

Opt-Out

You may opt out of this arbitration agreement within 30 days of the date you first accept these Terms by creating an account or placing your first order (or, for existing customers, within 30 days of the date these Terms were last updated). To opt out, email us at service@sofneu.com with the subject line "Arbitration Opt-Out" and include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement.

If you opt out, neither you nor Sofneu will be required to arbitrate Disputes. Instead, Disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming, or in the courts of the state where you reside, and you and Sofneu consent to the personal jurisdiction of such courts. Opting out of the arbitration agreement does not affect any other provision of these Terms, including the Governing Law section above.



25. Changes to These Terms

We may update these Terms from time to time to reflect changes to our business, services, practices or applicable legal requirements. The version of the Terms published on our website at the time an order is placed will generally apply to that order. Updated Terms take effect when published on our website or from any later date stated therein. Continued use of the website after changes take effect constitutes acceptance of the updated Terms.

26. Termination

We may suspend or terminate your access to the website or an account at any time where we reasonably consider that you have breached these Terms or where required by law. Any provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification and governing-law provisions.

27. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

28. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Shipping Policy and Returns & Exchanges Policy, constitute the entire agreement between you and Sofneu regarding your use of the website and your purchase of products, and supersede any prior agreements.
